Service refers to the software platform, tools, and clinic automation services provided by WaiveTheWait, including but not limited to Patient Reminders, Document Triaging Service, and Automated Task Management, whether accessed via the Website or any other means.

Website refers to Waive - The Intelligent Clinic Company, accessible from www.waivemedical.com.

Client refers to the clinic, healthcare organization, or individual that has entered into an agreement with WaiveTheWait to use the Service.

User refers to any individual accessing the Website or using the Service on behalf of a Client or in a personal capacity.

Demo refers to a scheduled product demonstration arranged through the Website or otherwise for the purpose of evaluating the Service.

Personal Information has the meaning given to it under applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws including the Personal Health Information Protection Act (PHIPA) in Ontario.

Content refers to all text, data, information, software, graphics, photographs, and other materials that may be displayed on or accessible through the Website.

4. Demo Bookings

By booking a demo through Our Website or any other means, You agree to the following:

  • You are booking on behalf of a legitimate healthcare organization or clinic and have the authority to do so

  • You will attend the scheduled demo at the agreed time, or provide reasonable advance notice if You need to cancel or reschedule

  • The demo is provided free of charge for evaluation purposes only and does not constitute a commitment to purchase or subscribe to the Service

  • Information shared during the demo, including product features, pricing, roadmap details, and any proprietary information, is confidential and intended solely for Your internal evaluation purposes

  • You agree not to record, reproduce, or share information disclosed during a demo without WaiveTheWait's prior written consent

  • WaiveTheWait reserves the right to decline or cancel a demo booking at its sole discretion

5. Contact Form Submissions

When You submit a contact form on Our Website, You agree that:

  • The information You provide is accurate and complete to the best of Your knowledge

  • You consent to WaiveTheWait using Your contact information to respond to Your inquiry and to follow up regarding Our Services

  • You may receive follow-up communications from WaiveTheWait related to Your inquiry, including emails, phone calls, or other forms of communication

8. The Service — Client Terms

This section applies to Clients who have entered into an agreement with WaiveTheWait to use the Service.

Service Description

WaiveTheWait provides clinic automation software including Patient Reminders, Document Triaging Service, and Automated Task Management. The specific features, functionality, and pricing available to each Client are determined by the applicable service agreement entered into between the Client and WaiveTheWait.

Client Responsibilities

As a Client, You agree to:

  • Provide accurate and complete information when setting up and using the Service

  • Ensure that all Users accessing the Service on Your behalf comply with these Terms and any applicable service agreement

  • Use the Service in compliance with all applicable laws and regulations, including PHIPA, PIPEDA, and any other applicable Canadian federal or provincial privacy legislation

  • Maintain the confidentiality of any login credentials or access details provided by WaiveTheWait and notify WaiveTheWait immediately of any unauthorized access or suspected security breach

  • Obtain all necessary consents from patients or other individuals whose information is processed through the Service, in accordance with applicable privacy legislation

  • Ensure that all staff members using the Service on Your behalf are appropriately trained and authorized to do so

Acceptable Use of the Service

You agree to use the Service only for its intended purposes in connection with the operation of a legitimate healthcare clinic or organization. You must not:

  • Use the Service to process data in a manner that violates PHIPA, PIPEDA, or any other applicable privacy legislation

  • Share access credentials with unauthorized individuals

  • Attempt to reverse engineer, decompile, or disassemble any part of the Service

  • Use the Service to send unsolicited or misleading communications to patients or other individuals

  • Interfere with or disrupt the integrity or performance of the Service or the data of other Clients

  • Use the Service to store or transmit any material that is unlawful, harmful, defamatory, or otherwise objectionable

Data and Privacy

WaiveTheWait takes the privacy and security of clinic and patient data seriously. As a Client, You acknowledge that:

  • WaiveTheWait operates in compliance with applicable Canadian privacy legislation including PHIPA and PIPEDA

  • Any Personal Information processed through the Service on Your behalf will be handled in accordance with Our Privacy Policy, Our Client Privacy and Data Protection Policy, and any applicable data processing agreements

  • You are responsible for ensuring that Your use of the Service complies with Your own legal obligations under applicable privacy legislation

  • You retain ownership of all data You input into or generate through the Service at all times

  • WaiveTheWait will not sell Your data or Your patients' data to third parties

  • WaiveTheWait will only share Your data as described in Our Privacy Policy or as required by applicable law

  • In the event of a confirmed or suspected data breach involving Your data, WaiveTheWait will notify You as soon as practicable, and no later than forty-eight (48) hours from the date WaiveTheWait obtains actual knowledge of the breach

Service Availability

WaiveTheWait will use commercially reasonable efforts to ensure the Service is available and functioning. However, We do not guarantee uninterrupted, error-free, or continuous access to the Service. We reserve the right to suspend or restrict access to the Service temporarily for maintenance, upgrades, security purposes, or other operational reasons, with reasonable advance notice where practicable. WaiveTheWait shall not be liable for any loss or damage arising from any suspension or interruption of the Service.

Service Terms and Agreements

Access to and use of the Service is subject to the terms of the applicable service agreement entered into between You and WaiveTheWait. The specific terms governing Your use of the Service, including but not limited to subscription terms, payment schedules, notice periods, and termination conditions, are set out in Your individual service agreement.

In the event of any conflict between these Terms of Service and Your individual service agreement, the terms of Your individual service agreement shall prevail to the extent of the inconsistency. Any amendment to Your individual service agreement must be made in writing and signed by authorized representatives of both parties.

Fees and Payment

Fees for the Service are set out in the applicable service agreement or pricing documentation provided to You at the time of onboarding. WaiveTheWait reserves the right to modify pricing with reasonable advance written notice to Clients. Continued use of the Service following a pricing change constitutes Your acceptance of the revised pricing.

All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Clients are responsible for all applicable taxes in connection with their use of the Service.

9. Third-Party Links and Integrations

The Website may contain links to third-party websites or services that are not owned or controlled by WaiveTheWait. WaiveTheWait has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to review the terms and privacy policies of any third-party websites You visit.

The Service may integrate with or connect to third-party tools and platforms including but not limited to:

  • Electronic medical record systems such as Accuro and Cortico

  • Scheduling tools such as Calendly

  • Customer relationship management platforms such as Attio

  • Communication and automation tools such as Zapier

Your use of any third-party integrations is subject to the terms and conditions of those third-party providers. WaiveTheWait is not responsible for the practices, availability, or content of any third-party tools or services connected to or used alongside the Service.

10. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

This obligation does not apply to information that: (a) is or becomes publicly available through no breach of this obligation; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the confidential information; or (d) is required to be disclosed by applicable law or court order, provided that the disclosing party gives reasonable prior notice to the other party.

The Website and Service are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the fullest extent permitted by applicable law, WaiveTheWait, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the Service shall first be attempted to be resolved through good faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation within thirty (30) days of written notice of the dispute, either party may pursue resolution through the courts.

These Terms, together with Our Privacy Policy and any applicable service agreement, constitute the entire agreement between You and WaiveTheWait regarding Your use of the Website and Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Assignment

You may not assign or transfer these Terms or any of Your rights or obligations under these Terms without Our prior written consent. WaiveTheWait may freely assign or transfer these Terms without restriction.

Force Majeure

WaiveTheWait shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond WaiveTheWait's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, power outages, or internet service provider failures.

These Terms are written in English. The English language version of these Terms shall govern in the event of any conflict with a translated version.

Service Terms and Agreements

Access to and use of the Service is subject to the terms of the applicable service agreement entered into between You and WaiveTheWait. The specific terms governing Your use of the Service, including but not limited to subscription terms, payment schedules, notice periods, and termination conditions, are set out in Your individual service agreement.

In the event of any conflict between these Terms of Service and Your individual service agreement, the terms of Your individual service agreement shall prevail to the extent of the inconsistency. Any amendment to Your individual service agreement must be made in writing and signed by authorized representatives of both parties.

Fees and Payment

Fees for the Service are set out in the applicable service agreement or pricing documentation provided to You at the time of onboarding. WaiveTheWait reserves the right to modify pricing with reasonable advance written notice to Clients. Continued use of the Service following a pricing change constitutes Your acceptance of the revised pricing.

All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Clients are responsible for all applicable taxes in connection with their use of the Service.

9. Third-Party Links and Integrations

The Website may contain links to third-party websites or services that are not owned or controlled by WaiveTheWait. WaiveTheWait has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise You to review the terms and privacy policies of any third-party websites You visit.

The Service may integrate with or connect to third-party tools and platforms including but not limited to:

  • Electronic medical record systems such as Accuro and Cortico

  • Scheduling tools such as Calendly

  • Customer relationship management platforms such as Attio

  • Communication and automation tools such as Zapier

Your use of any third-party integrations is subject to the terms and conditions of those third-party providers. WaiveTheWait is not responsible for the practices, availability, or content of any third-party tools or services connected to or used alongside the Service.

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

14. Governing Law and Dispute Resolution

Assignment

You may not assign or transfer these Terms or any of Your rights or obligations under these Terms without Our prior written consent. WaiveTheWait may freely assign or transfer these Terms without restriction.

Force Majeure

WaiveTheWait shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond WaiveTheWait's reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, power outages, or internet service provider failures.

Language

These Terms are written in English. The English language version of these Terms shall govern in the event of any conflict with a translated version.
